BricksBasket Channel Partner Network
Terms & Conditions

These Terms & Conditions (“Agreement”) set forth the entire understanding between BricksBasket (“Company”) and the applicant (“Channel Partner”) regarding participation in our Channel Partner Network (the “Network”). By enrolling, the Channel Partner agrees to be bound by these terms, as may be amended from time to time by BricksBasket.

1. Network Enrollment & Eligibility

  • Complete Application:
    Applicants must submit a fully completed application form along with the necessary supporting documents (such as Constitution Documents and Registration Certificates issued by the relevant authorities). Incomplete applications will not be processed.

  • Experience & Expertise:
    The Channel Partner must demonstrate experience in marketing, promoting, and facilitating construction projects. It is required to have the necessary skillset, infrastructure, and trained personnel to source qualified leads.

  • Confidentiality of Submissions:
    All discussions and documents exchanged between the Channel Partner and BricksBasket are confidential. Documents submitted will be returned within 45 days of submission or destroyed thereafter.

  • Selection Process:
    Enrollment is at the sole discretion of BricksBasket. The Company reserves the right to accept or reject any application without providing reasons.

  • Subsequent Documentation & Certification:
    Once a request is raised and the application is accepted, a separate physical document detailing specific terms will be provided for signature. A BricksBasket representative will contact the Channel Partner to facilitate this process. Upon signing the document, the Channel Partner will receive an Authorized Channel Partner Certificate, formalizing their participation in the Network.

2. Roles & Responsibilities

  • Lead Generation:
    The Channel Partner is responsible for identifying and sharing qualified leads (prospective customers looking to construct or renovate) with BricksBasket. In cases where multiple Channel Partners submit the same lead, priority will be given based on the quality of information provided and on a first-come, first-served basis.

  • Brand Promotion:
    Channel Partners are expected to promote the BricksBasket brand professionally. Use of the Company’s logos, trademarks, or any Intellectual Property must be authorized in writing and adhere to the provided brand guidelines.

  • Marketing Support:
    BricksBasket will offer marketing support and may display the Channel Partner’s logo on our platforms, subject to prior approval and agreed terms.

  • Compliance:
    The Channel Partner must comply with all applicable laws and industry regulations. Any involvement in economic offenses, tax defaults, or unethical practices will result in immediate disqualification.

3. Commission, Pricing & Payments

  • Fixed Commission Model:
    The Company’s commission structure will be established and communicated to the Channel Partner before any leads are submitted. All commissions will be based on successful project conversions.

  • Payment Cycle:
    Commission payments will be processed on a 30-day cycle, starting from the project commencement date. All payments will be made in Indian Rupees via authorized bank transfers, subject to applicable tax deductions.

  • Cancellation & Refunds:
    In the event of a cancellation after construction has begun, any commission paid must be refunded to BricksBasket upon request.

4. Use of BricksBasket Intellectual Property

  • Authorized Use:
    Channel Partners may use BricksBasket’s trademarks, logos, and other Intellectual Property only with explicit written permission from the Company. Any usage must strictly adhere to the guidelines provided.

  • Compliance & Removal:
    Should any use of the Company’s Intellectual Property be found to be inconsistent with our guidelines, BricksBasket reserves the right to require immediate correction or removal. Continued non-compliance may lead to termination of the Agreement and potential legal action.

  • Domain Names:
    The Channel Partner is prohibited from registering or using any domain names that are identical or confusingly similar to BricksBasket’s Intellectual Properties without prior authorization.

5. Representations, Warranties & Indemnity

  • Channel Partner Representations:
    The Channel Partner represents that it is legally competent to enter into this Agreement, complies with all applicable laws (including those under the Real Estate (Regulation & Development) Act, 2016), and possesses the necessary expertise to perform its duties under the Network.

  • Indemnity:
    The Channel Partner agrees to indemnify and hold harmless BricksBasket, its officers, employees, and agents from any claims, losses, or damages arising out of the information provided by the Channel Partner or from any breach of this Agreement. This obligation shall survive the termination of the Agreement.

6. Assignment & Amendments

  • Assignment:
    Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party. This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

  • Amendments:
    No modification or amendment to this Agreement will be valid unless in writing and duly executed by both parties.

7. Dispute Resolution & Jurisdiction

  • Dispute Resolution:
    In the event of any disputes or differences in interpretation of this Agreement, the parties will first seek an amicable resolution. Should the dispute remain unresolved, it will be referred to arbitration by a sole arbitrator appointed by BricksBasket, in accordance with the provisions of The Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be conducted in English.

  • Jurisdiction:
    This Agreement shall be governed by the laws of India. All disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Pune.
